Job Purpose: To Manage and direct the administrative and secretariat services for Council, Exco and Council’s committees in order to ensure that the Council complies with standard financial and legal practices and maintains high standards of corporate governance.

Job Objectives:

Develop the year planner for Council, Exco and all committee meetings and communicating this to the relevant stakeholders to ensure planning and attendance achieves quorum.
Organizing and preparing agendas and meeting packs for Council, Exco, committees and other relevant meetings
Drafting of minutes and resolutions for Council, Exco and Council’s committees and, lodging required forms and annual returns with necessary bodies
Responsible for the Code of Good Practice for Council members and staff in general.
Responsible for the development of the Committee’s Annual Work Plans, Charters and Terms of Reference.
Responsible for the induction of all new councillors and independent members.
Arrange necessary training for councillors.
Creating the Record of Decisions (ROD) and following up on actions from meetings.
Maintaining statutory books, including registers of members, directors, and secretaries.
Dealing with correspondence, collating information and writing reports, ensuring decisions made in meetings are communicated to the relevant Council stakeholders
Contributing to meeting discussions as and when required, and advising members of the legal, governance, and Council’s constitution and policies
Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action.
Liaising with external stakeholders and advisers, such as auditors, CCMA and DoL.
Developing and overseeing the internal systems and processes that ensure the NBCRFLI complies with its Governance Framework, Delegation of Authority and Constitution.
Facilitate payment of counsellors in line with meeting attendance and budget
Managing logistics and refreshments for all Council and committee meetings
Providing budgetary guidance and figures in relation to the committee secretariat department and function
Management of staff reporting to the GM Secretariat in order to ensure that they assist in the delivery of the departments’ objectives.
Responsible for maintaining proper stakeholder relationships with parties to the Council and external stakeholders.

Requirements Knowledge:

In-depth understanding of the Council’s Constitution, all statutory and legal requirements relating to the Council and its functions including the LRA and the Main Collective Agreement.
Must have knowledge of Corporate Governance including King IV, Companies Act, Labour Legislation and other relevant legal acts and prescripts.
Legal, commercial and governance environment experience and knowledge
Understand board dynamics – NED’s vs. Execs/NS vs. Chairman

Educational Qualification & Experience:

Minimum Grade 12 and a Bachelor’s degree with a focus on Business Administration, Law and/or Corporate Governance.
Essential to have gained at least 5 years of secretariat work experience with an understanding of corporate governance.
Experience within a bargaining council environment would be advantageous.
The incumbent in this position will be responsible for high level administrative and governance work within the Council and will have to operate at committee and board level.
Road Freight & Logistics Industry Knowledge will be an added advantage

Remuneration Grade: PATERSON D3

It is the Council’s intention to promote equity through the filling of all numeric targets as contained in the EE Plan, first preference will be given to African Males and African Females; Coloured Males and Coloured Females.
