The main purpose of this position is to provide assistance to the Secretary of the Bank in respect of all statutory administration, as per the South African Reserve Bank Act 90 of 1989, as amended (SARB Act) and automatically act as Secretary of the Bank in the latter’s absence.

Detailed Description

The successful candidate will be responsible for the following key performance areas:

Stand-in for, and assume all roles and responsibilities ordinarily undertaken by the Secretary of the Bank, in his or her absence.
Assist with the orientation of new members of the Board of Directors (Board) and provide advisory, administrative and logistical support to the directors of the SARB Board, providing them with guidance in terms of their duties, responsibilities and powers, as well as to make the directors aware of any laws relevant to or affecting the SARB.
Provide secretariat services, including the drafting, coordinating and managing the timely and accurate execution of minutes, resolutions and other reports for the Board and various other allocated Board subcommittees as well as the internal executive committees.
Ensure compliance with the SARB Act, regulations and terms of reference of committees, delegations of power and the Companies Act 73 of 2008 (Companies Act), where appropriate.
Report to the Board, in the absence of the Secretary of the Bank, any failure on the part of the SARB or a director to comply with the SARB Act or the Companies Act, where relevant.
Manage the performance and development of team members.
Liaise with both internal and external stakeholders in relation to the Board documents, Board committee documents, and documentation for other committees as well as the documentation for the Ordinary General Meeting of shareholders.

Job Requirements

To be considered for this position, candidates must have:

an Honours’ degree in Law, Commerce, Business Management or an equivalent four-year degree or a CIS qualification; and
8–10 years’ relevant work-related experience in a company secretarial department or with a professional services provider in a company secretarial role.
